1. Acknowledgement
These Terms and Conditions govern the use of the Website and services provided
by Special Minds Pte Ltd ("Special Minds", "we", "us", or "our"). By registering with,
accessing, or using the Service, you agree to comply with these Terms and
Conditions. Your access to and use of the Service are conditional upon your
acceptance of these Terms. If you do not agree with any part of these Terms and
Conditions, you must not access or use the Service.
Service Professionals: By registering or signing up as a Service Professional with
Special Minds, whether through the Website, an approved registration form, or any
other approved registration channel, you acknowledge that you have read,
understood, and agree to be bound by these Terms and Conditions. Acceptance of
any Assignment is also deemed to constitute acceptance of these Terms.
Clients: By submitting a service request, accepting an Assignment, or making the
first payment for a session or Assignment, the Client acknowledges that they have
read, understood, and agree to be bound by these Terms and Conditions. Where
payment is made by a parent or guardian on behalf of a Client, that parent or
guardian is deemed to accept these Terms on behalf of the Client.
By registering as or providing services as a Service Professional, you represent that
you are at least 18 years of age.
2. Definitions
"Terms and Conditions" or "Terms" refers to these Terms and Conditions, which
constitute the agreement between you and Special Minds Pte Ltd regarding the use
of the Service.
"Website" refers to the Special Minds website, accessible at
www.specialminds.com.sg.
"User" refers to visitors to the Website and persons who use the Service.
"Client" refers to a customer, parent, or guardian who engages a Service
Professional through Special Minds.
"Service Professional" or "Service Provider" refers to an individual registered with
Special Minds through the Website or through approved offline channels, including
forms or other registration processes, who provides educational, therapeutic,
caregiving, or related professional services.
"Assignment" refers to a request from a Client for services to be provided by a
Service Professional.
"Agreed Tutor Rate" refers to the rate payable to the Service Professional for each
lesson or session, as confirmed by Special Minds before the commencement of an
Assignment.
"Fixed Schedule" refers to an agreed schedule where the number of lessons to be
conducted per week is established before the commencement of an Assignment,
such as one (1), two (2), or three (3) sessions per week.
"First Month" refers to the first month in which lessons are scheduled and/or
conducted following commencement of an Assignment. The First Month is used for
determining Special Minds' initial Commission and is not defined as four calendar
weeks.
"Commission" or "Administrative Fee" refers to the amount payable to Special Minds
for introducing and matching Clients with Service Professionals and for the
administrative, coordination, communication, and related services provided by
Special Minds.
3. Regulations and Agreements with Service Professionals
3.1 Registration and Professional Requirements
Service Professionals must register with Special Minds through the Website or an
approved registration channel before accepting an Assignment.
To become a Service Professional of Special Minds, you must be in good standing
and must not have been previously barred, suspended, or terminated from receiving
or providing services through Special Minds.
Service Professionals must provide accurate, complete, current, and valid
information during registration.
Service Professionals are individually responsible for ensuring that they possess and
maintain all qualifications, certificates, registrations, licences, permits, and other
professional requirements necessary to provide their services.
Where registration with a professional body is legally required in Singapore, the
Service Professional is solely responsible for maintaining such registration. For
example, where applicable, therapists must maintain the relevant registration with
the Allied Health Professions Council ("AHPC").
Special Minds is not responsible for false, inaccurate, incomplete, or misleading
declarations made by Service Professionals.
Where a Service Professional provides false or misleading information regarding
qualifications, experience, registration, or professional status, Special Minds
reserves the right to immediately suspend or terminate the Service Professional and,
where appropriate, report the matter to the relevant authorities.
Service Professionals must promptly notify Special Minds of any changes to their
qualifications, registration, availability, contact details, or other information relevant to
their ability to provide services.
3.2 Professional Conduct and Expectations
Service Professionals are expected to:
● Maintain professionalism, punctuality, integrity, and appropriate conduct at all
times.
● Deliver the full agreed lesson or session duration.
● Communicate respectfully and responsibly with Clients and
parents/guardians.
● Honour confirmed lessons and Assignments.
● Provide reasonable notice for postponements, cancellations, or changes.
● Provide at least 48 hours' notice for changes wherever reasonably possible,
except in genuine emergencies or sudden illness.
● Provide supporting documentation, such as a medical certificate, where
requested in cases of sudden illness.
● Maintain valid copies of relevant qualifications and certifications.
● Maintain appropriate lesson records and lesson plans.
● Document lesson plans and relevant lesson information sufficiently to
demonstrate what was planned and/or conducted, particularly where there is
a dispute or complaint from a Client or parent/guardian.
● Comply with all applicable laws, professional requirements, safeguarding
obligations, and Special Minds policies.
3.3 Acceptance and Confirmation of Assignments
A Service Professional is considered to have accepted an Assignment when the
Service Professional provides verbal or written confirmation to Special Minds,
including confirmation by text message, WhatsApp, email, or other electronic
communication.
Once an Assignment has been confirmed by the Service Professional and Special
Minds has issued an invoice to the Client, the Service Professional is expected to
honour the confirmed Assignment.
A Service Professional must not withdraw from, reject, or materially alter a confirmed
Assignment without a valid reason and prior communication with Special Minds.
Where a Service Professional withdraws or request for changes from a confirmed
Assignment without a valid reason accepted by Special Minds, Special Minds
reserves the right to:
● terminate the Assignment;
● terminate the Service Professional's engagement with Special Minds;
● remove the Service Professional from the Special Minds platform, database,
and future Assignments;
● withhold or forfeit fees otherwise payable to the Service Professional, to the
extent permitted by applicable law; and
● recover any amounts properly due to Special Minds arising from the Service
Professional's breach or withdrawal.
3.4 Minimum One-Month Commitment
All Service Professionals who accept an Assignment must complete at least one (1)
month of lessons, unless Special Minds expressly agrees otherwise in writing. A
Service Professional who withdraws or fails to complete the minimum commitment
without a valid reason accepted by Special Minds will forfeit all fees otherwise
payable, to the extent permitted by applicable law.
Failure to complete the minimum commitment may result in immediate termination,
removal from the Special Minds platform and database, and being barred from future
Assignments. Special Minds reserves the right to exercise reasonable discretion in
genuine exceptional circumstances.
3.5 Rates, Commission and Payment
All currency references are in Singapore Dollars (SGD).
Rates displayed on the Website are guidelines only. The actual Agreed Tutor Rate
for an Assignment will be confirmed by Special Minds before or at the
commencement of the Assignment.
Once the Agreed Tutor Rate and lesson arrangement have been confirmed, the
Service Professional must not independently alter the rate, lesson frequency, lesson
duration, or other material terms with the Client without informing and obtaining the
required approval from Special Minds.
Special Minds reserves the right to calculate its Commission based on the original
agreed rate and lesson arrangement.
3.5.1 Commission for Assignments with a Fixed Weekly Schedule
Where a Fixed Schedule has been agreed at the commencement of an Assignment,
Special Minds' Commission will be calculated based on the agreed lesson frequency
and Agreed Tutor Rate.
The Commission is equivalent to 50% of the agreed lesson fees for the First Month,
calculated according to the Fixed Schedule agreed at the commencement of the
Assignment.
The Commission remains payable based on the original agreed Fixed Schedule
even if individual lessons are subsequently postponed, cancelled, or rescheduled
during the First Month.
For a month comprising four (4) weeks:
● 1 session per week: Commission is equivalent to the first 2 sessions.
● 2 sessions per week: Commission is equivalent to the first 4 sessions.
● 3 sessions per week: Commission is equivalent to the first 6 sessions.
For a month comprising five (5) weeks:
● 1 session per week: Commission is equivalent to 50% of the fees for 5
sessions.
● 2 sessions per week: Commission is equivalent to 50% of the fees for 10
sessions.
● 3 sessions per week: Commission is equivalent to 50% of the fees for 15
sessions.
For clarity, the Commission is calculated according to the Fixed Schedule and
Agreed Tutor Rate that were confirmed at the commencement of the Assignment.
A Service Professional cannot reduce or avoid the Commission by postponing,
cancelling, or rescheduling lessons during the First Month. Where a scheduled
lesson is postponed or rescheduled, the Commission calculation remains based on
the original agreed Fixed Schedule.
3.5.2 Commission for Assignments Without a Fixed Weekly Schedule
Where there is no Fixed Schedule, or the number of sessions varies from week to
week during the First Month, Special Minds' Commission will be equivalent to 50% of
the total lesson fees for all sessions actually conducted during the First Month.
For example, if the Service Professional conducts ten (10) sessions during the First
Month at an Agreed Tutor Rate of $50 per session:
● Total lesson fees = $500
● Special Minds' Commission = 50% = $250
● Service Professional's remaining fees = $250
For Assignments without a Fixed Schedule during the First Month, Commission is
therefore based on the actual number of sessions conducted during that First Month.
3.5.3 Tutor Rate After the First Month
After the First Month, the Service Professional will receive the full Agreed Tutor Rate
for all subsequent sessions, subject to any approved changes to the Assignment.
The Commission applicable to the First Month does not reduce the Agreed Tutor
Rate payable to the Service Professional for subsequent sessions.
3.6 Parent Pricing and Fixed Rates
Special Minds may charge Clients a fixed rate for services.
The Client-facing rate may include Special Minds' administrative, coordination,
matching, or other applicable fees.
The fixed rate charged to the Client does not reduce or alter the Agreed Tutor Rate
payable to the Service Professional.
Where a Fixed Schedule has been agreed with the Client, the Service Professional
is expected to follow that schedule unless a change is agreed and approved in
accordance with these Terms.
The Service Professional must not independently agree with a Client to change the
lesson frequency, duration, or other material terms where doing so may affect
Special Minds' Commission without first obtaining the required approval from Special
Minds.
3.7 Payment to Service Professionals
Special Minds will pay Service Professionals withinseven (7) days after the end of
each calendar month, provided the Service Professionalhas informed Special
Minds that the last session of the relevant calendar month has been conducted and
has submitted all required lesson records, feedback, and other information.
Payment will be calculated based on the Agreed Tutor Rate, lessons conducted,
approved adjustments, and any amounts properly deductible or payable under these
Terms. Service Professionals must accurately record all lesson dates, durations,
attendance, and other required information. Failure to submit required information
may result in payment being delayed until the information has been received and
verified.
3.8 Direct Collection of Payment
Service Professionals must not collect payment directly from Clients for services
arranged through Special Minds unless expressly authorised by Special Minds in
writing.
If a Service Professional receives payment directly from a Client without prior
authorisation, the Service Professional must notify Special Minds immediately and
transfer the relevant amount to Special Minds within three (3) days.
Attempting to bypass Special Minds or divert Client payments away from Special
Minds may result in immediate termination and removal from Special Minds.
3.9 Changes to Lesson Dates, Frequency and Administrative Matters
Service Professionals are responsible for coordinating with Clients or
parents/guardians regarding lesson dates, timing, rescheduling, lesson frequency,
lesson duration, and other day-to-day administrative matters, but must promptly
update Special Minds regarding any changes agreed with the Client.
Any change in lesson frequency or duration must receive prior approval from Special
Minds before taking effect, whether requested by the Service Professional or the
Client. A Service Professional must not independently agree to reduce the number of
lessons or lesson duration where the change may reduce or affect Special Minds'
Commission. If an unauthorised change is made, Special Minds reserves the right to
calculate and collect the Commission based on the original agreed frequency,
duration, and Agreed Tutor Rate, regardless of whether the change was requested
or agreed to by the Client. Any arrangement made directly between the Service
Professional and Client does not override the Service Professional's obligations to
Special Minds under these Terms.
3.10 Notice Period for Existing Assignments
For an existing ongoing Assignment, a Service Professional who wishes to terminate
or withdraw from the Assignment must provide at least two (2) weeks' notice to
Special Minds.
The notice period begins when Special Minds receives the Service Professional's
written notice. The Service Professional must continue to fulfil the Assignment during
the notice period unless Special Minds expressly agrees otherwise.
3.11 Notice Period for Shadow Teaching Assignments
For a Shadow Teaching Assignment, the Service Professional must provide at least
three (3) weeks' notice if they wish to terminate or withdraw from the Assignment.
The Service Professional must continue to fulfil the Assignment during the notice
period unless Special Minds expressly agrees otherwise.
Failure to comply with the applicable notice period may result in termination, removal
from Special Minds, and/or withholding or forfeiture of fees to the extent permitted by
applicable law.
3.12 Postponement and Cancellation
Service Professionals must provide at least 48 hours' notice where they need to
postpone or cancel a scheduled session, except in genuine emergencies or
circumstances beyond their reasonable control.
Where a Service Professional is informed of a postponement or cancellation less
than two (2) hours before the scheduled session, the Service Professional will be
compensated $10 for transport, provided the Service Professional was required to
travel for the scheduled session.
The $10 transport compensation does not apply where the postponement or
cancellation is caused by the Service Professional.
Repeated cancellations, lateness, poor communication, or failure to fulfil confirmed
sessions may result in suspension or termination.
3.13 Lesson Plans and Documentation
All Service Professionals are required to maintain appropriate lesson plans and
lesson records for their Assignments.
Lesson plans should sufficiently document, where applicable:
● lesson objectives;
● planned activities;
● materials used;
● areas covered;
● progress made; and
● relevant observations or follow-up points.
Service Professionals must be able to provide relevant lesson plans or records if a
Client or parent/guardian raises a dispute, complaint, or concern regarding the
services provided.
Special Minds may request such documentation for the purpose of reviewing and
responding to Client complaints or disputes.
Failure to maintain or provide reasonable documentation may be taken into
consideration when Special Minds reviews a complaint or dispute.
4. Regulations and Agreements with Clients
4.1 Request for Service Professional and Code of Conduct
Clients may submit service requests through the Website, SMS, WhatsApp,
telephone, email, or other approved communication channels.
Special Minds may collect information reasonably required to facilitate matching,
including Client contact details, relevant child information, service requirements,
scheduling requirements, and other information necessary to provide the Service.
Clients are responsible for ensuring that information provided to Special Minds is
accurate and current.
Special Minds reserves the right to refuse, suspend, or terminate service where
appropriate.
Clients may verify the qualifications and certifications of a Service Professional
where required.
4.2 Rates, Payment and Commission
All currency references are in SGD.
Service rates displayed on the Website are guidelines only. Final Client rates are
determined and confirmed by Special Minds.
The Client-facing rate may include Special Minds' administrative or coordination
fees.
Payment Structure
Payment may be required before commencement of an Assignment in accordance
with the invoice issued by Special Minds.
For Assignments requiring monthly prepayment, Clients must make payment
according to the payment terms stated on the relevant invoice.
Clients may be required to provide proof of payment upon request.
Late Payment
Where payment remains outstanding after the applicable due date, Special Minds
reserves the right, to the extent permitted by applicable law, to:
● impose a one-off administrative fee of $50;
● refer the outstanding account to a third-party debt collection agency;
● charge late payment interest at 3% per month from the original due date; and
● recover reasonable collection costs and legal expenses arising from the
recovery of outstanding amounts.
No Bypass
Clients must not bypass Special Minds by directly engaging, paying, contracting with,
or otherwise arranging services with a Service Professional introduced or referred by
Special Minds for the purpose of avoiding Special Minds’ fees.
Where bypassing occurs, Special Minds reserves the right to require payment of all
applicable fees that would otherwise have been payable to Special Minds and/or
terminate the relevant service arrangement. A Service Professional who knowingly
participates in bypassing Special Minds may have their engagement with Special
Minds terminated immediately.
If a Client chooses to engage a Service Professional privately, whether directly or
through any third party, after that Service Professional has been introduced or
referred by Special Minds, such private engagement is undertaken entirely at the
Client’s own risk and responsibility. Special Minds shall have no responsibility or
liability for any matter arising from or relating to such private engagement, including
any administrative, payment, contractual, service-related, professional, financial, or
legal dispute, claim, loss, damage, cost, or complication between the Client and the
Service Professional.
Special Minds shall not be responsible for managing, resolving, mediating, or
enforcing any agreement or arrangement entered into privately between the Client
and the Service Professional after bypassing Special Minds.
To the extent permitted by applicable law, the Client agrees to indemnify and hold
Special Minds harmless from any claims, losses, liabilities, damages, costs, or
expenses arising from or relating to such private engagement, including disputes
concerning payment, services, performance, cancellation, termination, conduct,
contractual obligations, or legal matters.
Clients remain responsible for payment for all services properly provided by or
through Special Minds and for all outstanding amounts due to Special Minds,
regardless of any subsequent private arrangement with a Service Professional.
4.3 Postponement and Termination by Client
Clients should provide at least 48 hours' notice for cancellation or postponement of a
scheduled session.
Where a Client cancels or postpones a confirmed session with less than 48 hours'
notice, an administrative fee of $20 apply.
Where a Client repeatedly postpones the commencement of an Assignment, Special
Minds may require a revised commencement date or apply reasonable
administrative charges.
For ongoing Assignments, Clients should provide reasonable advance notice of
termination in accordance with the arrangements confirmed by Special Minds.
Any refund of unused prepaid fees will be subject to the applicable payment and
cancellation terms and will generally be processed within seven (7) working days
where a refund is due.
5. Intellectual Property
The Website, Service, and its original content are the exclusive property of Special
Minds or its licensors.
All content, including images, logos, text, graphics, materials, and other intellectual
property, is protected by applicable intellectual property laws.
Unauthorised copying, publication, modification, distribution, reproduction, reverse
engineering, or commercial use of protected content is prohibited.
6. User Content
Users are solely responsible for content they submit, upload, publish, or otherwise
provide through the Service.
Users must not transmit or publish content that is unlawful, defamatory, offensive,
abusive, misleading, or infringes the intellectual property, privacy, or other rights of
another person.
Special Minds reserves the right to remove content and/or terminate access where it
considers such action appropriate.
7. Links to Other Websites
The Website or Service may contain links to third-party websites or services.
Special Minds has no control over third-party websites and does not assume
responsibility for their content, availability, privacy practices, or terms.
Users should review the applicable terms and policies of any third-party website they
visit.
8. Use of Communication Services
Users must not misuse any communication services provided by Special Minds,
including messaging, email, WhatsApp, chat, or other communication channels.
Users must not use such services for harassment, stalking, threats, unlawful
conduct, abuse, defamation, or distribution of unlawful material.
Special Minds reserves the right to review, investigate, restrict, or remove
communications where appropriate.
9. Disputes and Arbitration
Any dispute arising out of or relating to these Terms, the Service, or the relationship
between a User and Special Minds shall be governed by the laws of Singapore.
Subject to any rights or remedies that cannot lawfully be excluded, disputes may be
referred to final and binding arbitration in Singapore.
Nothing in this clause prevents Special Minds from seeking urgent or interim relief
from a court of competent jurisdiction where necessary to protect its rights, property,
confidential information, or business interests.
10. Changes to These Terms and Conditions
Special Minds reserves the right to modify, update, or replace these Terms at any
time.
Where material changes are made, Special Minds may provide notice through the
Website, email, WhatsApp, or other appropriate communication channels.
Continued use of the Service after the updated Terms take effect constitutes
acceptance of the revised Terms.
If you do not agree with the revised Terms, you must discontinue use of the Service.
11. General
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that
provision shall be modified or severed to the minimum extent necessary, and the
remaining provisions shall continue in full force and effect.
No failure or delay by Special Minds in exercising any right under these Terms shall
constitute a waiver of that right.
These Terms constitute the agreement between the User and Special Minds
regarding the Service and supersede previous versions of these Terms relating to
the same subject matter, unless otherwise expressly agreed in writing.
